1. About The Design Principal

The Design Principal ("TDP", "we", "us", "our") is a digital product business that sells document templates, standard operating procedures, trackers, contracts, and other operational materials for interior design firms. We are operated by [ENTITY NAME — update once registered], based in India.

2. Products and Digital Goods

All products sold by TDP are digital goods, delivered electronically. Our products include:

• Document templates in DOCX format (Microsoft Word / Google Docs compatible)
• Spreadsheet trackers in XLSX format (Microsoft Excel / Google Sheets compatible)
• Collections of documents sold as individual pillars, bundles, or as the complete system
• Free resources provided in exchange for your email address

3. Licence — What You Can Do

When you purchase TDP products, you receive a personal, non-exclusive, non-transferable licence to:

• Download and use the documents for your own interior design firm
• Customise the documents with your firm name, logo, and relevant details
• Use the documents with your own clients in the course of providing interior design services
• Store copies of the documents on your own devices and firm cloud storage

4. Licence — What You Cannot Do

You are expressly prohibited from:

• Reselling or redistributing any TDP document or collection, in whole or in part, to any third party
• Sharing purchased documents with designers or firms who have not purchased a licence
• Uploading TDP documents to file-sharing platforms, cloud storage accessible to others, or any public platform
• Using TDP documents as the basis for creating your own template products to sell
• Removing or altering any proprietary notices, branding references (where present), or copyright statements in the documents
• Claiming authorship of the document system or its structure
• Transferring your licence to another firm or individual without our written consent

Each purchase is licenced to a single firm entity. If you operate multiple firms, each firm requires a separate licence.

5. Intellectual Property

All TDP products, including document structure, content, frameworks, checklists, formats, and methodologies, are the intellectual property of The Design Principal. They are protected under Indian copyright law and applicable international intellectual property treaties.

Purchasing TDP products does not transfer any intellectual property rights to you. The templates are provided under licence only.

6. No Professional Advice

TDP documents are operational templates designed to help design firms operate more professionally. They are not legal advice, financial advice, or accounting advice. Specifically:

• Contract templates should be reviewed by a qualified legal professional before use in significant commercial transactions
• Financial trackers do not constitute accounting services or tax advice
• Any regulatory references in documents were accurate at the time of writing but may not reflect current law

We strongly recommend having contracts reviewed by an advocate familiar with Indian contract law before use.

7. Accuracy of Documents

We make reasonable efforts to ensure all documents are accurate, professional, and useful. However, TDP makes no warranties or representations that:

• Documents will be suitable for every specific situation or jurisdiction within India
• Using the documents guarantees specific business outcomes
• All regulatory information remains current as laws and regulations change

You are responsible for reviewing and customising each document for your specific context before use.

8. Payment and Pricing

All prices are listed in Indian Rupees (INR) and are inclusive of applicable GST where required by law. Prices may change without prior notice, but any price change will not affect purchases already completed.

Payments are processed through Razorpay. By completing a purchase, you also agree to Razorpay's terms and conditions.

9. Delivery

Digital products are delivered electronically via download link sent to your registered email address, typically within minutes of payment confirmation. If you do not receive your download link within 24 hours of a successful payment, please contact us at hello@thedesignprincipal.in.

10. Refunds

Our refund policy is described in our Refund Policy, which forms part of these Terms. Given the digital nature of our products, refunds are limited. Please review the Refund Policy before purchasing.

11. Limitation of Liability

To the maximum extent permitted by applicable law, The Design Principal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our products or website, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from the purchase of TDP products shall not exceed the amount you paid for the specific product giving rise to the claim.

12. Termination

We reserve the right to terminate your access to TDP products and services if you violate these Terms, particularly the licence restrictions in Clauses 3 and 4. In the event of termination due to licence violation, no refund will be issued.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the date at the top of this page. Continued use of TDP products after changes constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of TDP products shall be subject to the exclusive jurisdiction of the courts of [City — update once registered], India.
